In plain terms: if you sell or repair cars, trucks, RVs, boats, motorcycles or equipment, the orders of 2020 and 2021 reached nearly every part of your business. In March 2020 twenty-three States and the District of Columbia closed showrooms to walk-in customers or confined sales to online transactions and appointments, while letting the service bays and parts counters stay open on conditions: distancing in the service drive, closed lounges, screening at the door, face coverings on technicians and customers. Every State's motor-vehicle office closed or went to appointments, so the title and registration that completes every sale waited. Michigan, Pennsylvania and Mexico closed the assembly plants that fill your lot; the land borders closed to non-essential travel; the auto, boat and RV shows were cancelled. Showrooms reopened at a fraction of their occupancy, by appointment, under written infection-control conditions that ran into 2021; the winter of 2020-21 re-tightened them; the last general capacity orders ended between March and July 2021. Through the summer of 2021, federal orders governed your commute, your freight and your government and hospital fleet customers, Hawaii and California kept every dealership under written conditions, New York required every employer to adopt an exposure prevention plan, and ten States and a dozen metros reinstated indoor face-covering and quarantine orders.

This page walks through each function of the business (sales, service, parts, delivery, titling, finance, supply, shows, hiring, office, workforce and customers), lists the orders by layer and by quarter with a link to each instrument in the Library, and answers each of the fourteen sentences the IRS (the "Service" in the analysis below) uses in its letters. The quarter those letters most often dispute is the third quarter of 2021, July 1 through September 30, and the inventory of orders below answers it instrument by instrument.

Partial suspension, element by element

Every analysis on this site asks the same five questions in the same order. Here they are asked of Dealers and Repair Shops, from the industry's own record.

  1. The order: issuer, instrument, date, exhibit.The Library holds 20 instruments from this industry's own regulators and sector authorities and 21 organizer notices. The earliest is Governor Abbott, Temporary waiver of vehicle title and registration requirements (press release, Mar. 16, 2020) (Ex. SEC-08-040). The fifty-State regime table below names the State orders that reached its premises, State by State, each with its exhibit; the federal layer and the standing duties sit behind them on every day of the six quarters.

  3. The change it compelled: the operative words.The operative words of Temporary waiver of vehicle title and registration requirements (press release, Mar. 16, 2020) (Ex. SEC-08-040): “See Ex. TX-069: 'The temporary waiver of certain vehicle title and registration requirements, announced by Governor Greg Abbott on March 16, 2020, due to the COVID-19 pandemic, will end on April 14, 2021'” Each record page quotes the operative words in full, with the enforcement provision beside them.
  4. The quarter: in force on which days.Every instrument carries the quarters it was in force. The six quarters sets out what was in force in each, and the third quarter of 2021 is listed instrument by instrument below.
  5. The statute's answer.A partial suspension is a temporary delay, interruption or termination of a portion of the business's operations; the order need only be the but-for cause of it; and nothing in the Suspension Clause asks whether the business was essential, stayed open, could telework or served customers who were themselves under orders (Tri-State Memorial Hospital v. Function codes

The analysis describes the business as twelve functions, each with a two-letter code that every page of this set uses without variation. An order “reached” a function when its operative words told the business what that part of it could do, when, where, for how many and on what conditions.
